AGREEMENT & TERMS

These TRENDConnect Terms & Conditions ("Terms") govern the use of the TRENDConnect web-based application ("TRENDConnect" or "the Application" or "the System") located at www.trendconnectme.com. These Terms constitute a legally binding agreement between you, the person using this website, and Trend Health Partners, LLC ("TREND"). If you are helping another person use the Application, these Terms constitute a legally binding agreement between both the helper and the person being helped and TREND.

For the purpose of these Terms of Use, phrases such as "you" and "your" shall apply to (a) you as an individual, (b) the company or organization on behalf of which you are exercising rights and incurring obligations pursuant to these Terms, and (c) employees, agents and contractors authorized by you or your company or organization, in each case as the context demands. Phrases such as "we," "us," "our," and "Company" shall refer to TREND Health Partners, LLC.

You, your employer, or your affiliated organization may have a separate written agreement with TREND. If a conflict or inconsistency between these Terms and another agreement exists, the relevant provision(s) established by the other agreement will supersede these Terms.

By accessing, using, or downloading any materials from this Application, you agree to follow and be bound by the most recent Terms as well as the most recent version of our Online Privacy Notice. If you do not agree to these Terms, please click cancel to end the registration process and immediately discontinue any use of the System.

USAGE AND ACCESS RIGHTS

Intended Use. The TRENDConnect system enables TREND to provide health service providers and insurance payers with a range of services including credit balance identification and recovery, data mining services, overpayment resolution, root-cause reporting, and invoice payment tracking. The Application consists of five modules with the following intended uses:

Eligibility. All access to the Application that is not explicitly authorized is forbidden. All individuals including customers, employees, directors, agents, and providers must complete and sign a Confidentiality Agreement and User Access Request Form (or Master User Agreement) in order to initiate an authorization request for and access to the Application. TREND clients and business partners are responsible for managing access requests by any employees or agents, and for providing at least one level of manager approval for each person to whom TREND is granting access. If you have not completed and signed a Confidentiality Agreement and User Access Request Form, you may not access or use the System.

In some cases, TREND's clients may have a Master User Agreement on file which serves to facilitate the access control process for their organization specific to TRENDConnect. In such cases, the Master User Agreement may override the need for individual User Access Request forms. An agreement of this nature must be confirmed and verifiable prior to any agent or employee of such an organization being granted access to or use of the System.

Access is granted based on an individual's role within the organization and restricted to the minimum necessary. TREND reviews User Access on a quarterly basis to ensure appropriate access levels and all user activity is tracked and recorded. TREND enforces mandatory multi-factor authentication for all access to sensitive data and adheres to access control and password requirements in accordance with NIST guidance and industry best practice.

Responsibility. Your login information is equivalent to your legal signature. This information is not to be shared with anyone. All individuals accessing the System are assigned a unique User ID (typically your e-mail address) as well as a temporary password which is delivered via secure e-mail. All individuals are required to change their password at first log-in and may change their password at any time by following the "Change Password" link in the application, or by clicking the "Forgot Password" link at the Application login screen. Users whose role includes manager or reviewer responsibilities are responsible to regularly review the accounts which fall under their authority, and to notify TREND immediately of any changes in or terminations of personnel with access to the Application.

Users and/or their affiliate organizations are responsible for implementing security controls over their own environments and over any devices used to access the Application. Users agree not to access the Application from an unsecure network, and to protect all TREND data through the same standards as governed by their organization or its agreement(s) with TREND.

Limited License. Upon your acceptance of these Terms, we grant you a limited, non-exclusive, and non-transferable license to access and use the System for your internal business purposes and only as expressly permitted in these Terms and any applicable agreements between you, your employer, or your organization and TREND. You shall not use or permit use of the Application for any illegal purpose or in any manner inconsistent with the provisions of these Terms. If you are or become a direct competitor of TREND, you may not access or use the Application without TREND's explicit, advance, written consent, and then only for the purposes authorized in writing. Except as otherwise restricted by these Terms, TREND grants you permission on a non-exclusive, non-transferable, limited basis to display, copy, and download content and materials on the Application provided that you: (a) retain all copyright and other proprietary notices on the content and materials; (b) use them solely for internal, non-commercial use or in accordance with any applicable service agreements; and (c) do not modify them in any way. Any violation by you of the license provisions contained in this section may result in the immediate termination of your right to use the System, as well as potential liability for copyright infringement or other claims depending on the circumstances.

Denial of Access and Termination. TREND may suspend, deny, and terminate your access to the Application at any time. You, your employer, or your affiliated organization may terminate these Terms and your access to the Application at any time by sending written notification to support@trendhealthpartners.com.

USAGE RESTRICTIONS

You may not use the Application for anything other than a lawful and legitimate purpose, and not in any way that would violate these Terms or the law. Regardless of the location from where the Application is used or accessed, you agree to comply with all applicable laws, regulations, statutes, and ordinances in connection with the use of the Application.

By using the Application you acknowledge and agree that:

  1. You are located in the United States or one of its territories.
  2. You are at least 18 years of age.
  3. You will not use, access, combine, or disclose the information available on the Application in such a way that would violate the Health Insurance Portability and Accountability Act ("HIPAA"), its regulations or other applicable law.
  4. Activity on this website is subject to monitoring by the Company at any time, and that the Company may use the results of such monitoring without limitation, subject to applicable law and contractual agreements.
  5. You will not engage in any activity or transmit any information that, in our sole discretion:
    1. Is illegal, or violates any federal, state, or local law or regulation;
    2. Advocates illegal activity or discusses illegal activities with the intent to commit them;
    3. Violates any third-party right, including, but not limited to, right of privacy, right of publicity, copyright, trademark, patent, trade secret, or any other intellectual property or proprietary rights;
    4. Is harmful, threatening, abusive, harassing, tortious, indecent, defamatory, sexually explicit, or pornographic, discriminatory, vulgar, profane, obscene, libelous, hate speech, violent or inciting violence, inflammatory, or otherwise objectionable;
    5. Interferes with any other party's use or enjoyment of the Application;
    6. Attempts to impersonate another person or entity;
    7. Falsely states, misrepresents, or conceals your affiliation with another person or entity;
    8. Accesses or uses the account of another user without permission;
    9. Distributes computer viruses or other code, files, or programs that interrupt, destroy, or limit the functionality of any computer software or hardware or electronic communications equipment;
    10. Interferes with, disrupts, disables, overburdens, or destroys the functionality or use of any features of the Application, or the servers or networks connected to the Application;
    11. "Hacks" or accesses without permission our proprietary or confidential records, those of another user, or those of anyone else
    12. Improperly solicits personal or sensitive information from other users including without limitation address, credit card or financial account information, or passwords;
    13. Decompiles, reverse engineers, disassembles, or otherwise attempts to derive source code from the Application, except as expressly permitted in these Terms or by law, unless and then only to the extent permitted by applicable law without consent;
    14. Removes, circumvents, disables, damages, or otherwise interferes with security-related features, or features that enforce limitations on use of the Application;
    15. Uses automated or manual means to violate the restrictions in any robot exclusion headers on the Application, if any, or bypasses or circumvents other measures employed to prevent or limit access, for example by engaging in practices such as "screen scraping," "database scraping,"" or any other activity with the purpose of obtaining lists of users or other information;
    16. Modifies, copies, scrapes or crawls, displays, distributes, publishes, licenses, sells, rents, leases, lends, transfers, or otherwise commercializes any materials or content on the Site;
    17. Uses the Application for benchmarking, or to compile information for a product or service, other than for purposes of evaluating availability as it relates to these Terms or another service agreement between you or your organization and TREND;
    18. Downloads (other than through page caching necessary for personal use, or as otherwise expressly permitted by these Terms), distributes, posts, transmits, performs, reproduces, broadcasts, duplicates, uploads, licenses, creates derivative works from, or offers for sale any content or other information contained on or obtained from or through the Application, by any means except as provided for in these Terms or with the prior written consent of TREND; or
    19. Attempts to do any of the foregoing.
TREND'S PRIVACY & SECURITY COMMITMENTS

At TREND we consider privacy and security to be among our very top priorities. Our commitments to our customers and to TRENDConnect users relative to the availability, confidentiality, privacy, and security of the TRENDConnect system is detailed in the Service & Security Commitments document which is also available in the Application's resource library.

Additionally, by accepting these Terms, you also acknowledge your understanding of, and agreement to, our Online Privacy Notice which sets forth our policies and practices with respect to the collection, use and disclosure of your information in connection with the TRENDConnect™ site. CHANGES TO THE TERMS OF USE AND PRIVACY NOTICE

We may modify these Terms from time to time to reflect changes in our business, market, technologies, or applicable laws and regulatory requirements. Trend may notify you of such changes, however, we are not obligated to do so. Changes will be posted on this or a similar page of this Application and it is your responsibility to review these Terms each time you use the Application. By continuing to use this Application, you consent to any changes to our Terms. If you do not agree to the revised Terms, you may not access or use the Application.

CONFIDENTIALITY AND INTELLECTUAL PROPERTY RIGHTS

The information available through the Application includes confidential and intellectual information and trade secrets of TREND. You agree not to copy, disclose, or use such confidential and intellectual information other than as appropriate in connection with your organization's proper use of the Application for its intended purpose. Intellectual information includes system design, concepts, processes, and capabilities in the Application not readily ascertainable by the public. TREND retains all intellectual property rights with respect to the Application. All Application content included or available on the Application including but not limited to, trade names, trademarks, service marks, text, graphics, interfaces, code, information, databases, technology (other than content or information sent to and from the Application), and the selection and arrangement thereof, are the sole and exclusive property of TREND.

INDEMNIFICATION

To the maximum extent allowed by applicable law, you agree to indemnify and hold harmless (and with respect to third party claims defend upon TREND's request), TREND, its affiliates, and licensors and information providers, from and against all claims, suits, proceedings, losses, liabilities, and expenses, including without limitation, attorneys' fees in connection with a third party claim, whether the claim or harm sounds in tort, contract, or otherwise, which arise out of, are a result of, or relate to your breach of any obligation, provision, acknowledgement, representation or warranty in these Terms, your use of the Application or any information sent, accessed, viewed, or received through the Application.

GOVERNING LAW

The laws of the State of Maryland govern these Terms and any cause of action arising under or relating to your use of the website, without reference to its choice-of-law principles. You agree that the only proper jurisdiction and venue for any dispute with the Company, or in any way relating to your use of this website, is in the state and federal courts in the State of Maryland, U.S.A. You further agree and consent to the exercise of personal jurisdiction in these courts in connection with any dispute involving the Company or its employees, officers, directors, agents, and providers. If any provision of these Terms is determined to be invalid under any applicable statute or rule of law, such provision is to that extent to be deemed omitted, and the balance of the Agreement shall remain enforceable.

REPORTING REQUIREMENTS

If you become aware of or suspect fraudulent or unlawful activity or any other activity that threatens the security or confidentiality of the Application, its content, operations, or any part thereof, or appears to be a misuse or unauthorized access to any confidential information, you are obligated to immediately report the activity to TREND. We require that you also report to us any activity on or regarding the Application that comes to your attention that is inappropriate, abusive, or otherwise problematic. TREND reserves the right but not the obligation to pursue actions against any such wrongdoers.

TREND reserves the right to report to local, national, or international law enforcement agencies abuse and violations of this Agreement, including, without limitation, those that may compromise the safety of you or users of the Application or the subjects of information sent through the Site. Nothing in this Agreement shall be construed to prohibit or restrict TREND from complying with any applicable laws, law enforcement requests, subpoenas, legal requirements, and legal reporting obligations relating to your or another user's use of the Application or use of information or user information.
